BOARD OF DIRECTORS

The Beverly Oaks Homeowners' Association is governed by a board of directors that is elected by the owners. The board consists of 5 homeowners serving on a volunteer basis for a two year term. The homeowners association is the cornerstone of a planned residential community. It brings continuity and order to the community; it preserves the architectural integrity and it maintains the common elements. Properly run, the association promotes the concept of “community” and protects the neighborhood's property values.

The board of directors makes the policies for the association, but the officers and agents carry out these policies and administrative functions for the community. The members of the board of directors and each officer of the association have a fiduciary relationship with the members of the association. This fiduciary relationship imposes obligations of trust and confidence in favor of the corporation and its members. It requires the members of the board to act in good faith and in the best interests of the members of the association. It means that board members must exercise due care and diligence when acting for the community, and it requires them to act within the scope of their authority.

The 2010-2011 board includes Robert Bauer, Laurie Waldrum, Randy Ranew, Brenda Madison and Steve Hillier. John Ward was elected but stepped down before the first meeting. The executive director is Joe Sandifer.

President
The president of an association is vested with all the powers generally given to the chief executive officer of a corporation. The president presides at all meetings of the board and the membership. The president will execute contracts, orders and other documents in the name of the association as its agent. When signing documents the president binds the association under a doctrine of inherent powers.

The president also assumes general charge of the day-to-day administration of the association and has the authority to order specific actions in furtherance of the board's policies. The president serves as spokesman for the board of directors in most matters relating to general association business. Like all officers of the association, the president has an affirmative duty to carry out the responsibilities of the office in the best interests of the association. The president serves at the will of the board of directors and can be removed with or without cause at any time by a majority of the full board.

Treasurer
The treasurer is the custodian of the funds, securities and financial records of the association. The association has a management company that handles the funds on a daily basis.

The treasurer's duties include overseeing the appropriate people to insure that the financial records and reports are properly kept and maintained. The treasurer is responsible for coordinating the development of the proposed annual budget and for preparing and giving the annual financial report on the financial status of the association. The treasurer is ultimately be responsible for insuring that the financial records of the association have been maintained properly in accordance with sound accounting practices.

Vice President

The vice-president is vested with all the powers which are required to perform the duties of the association president in the absence of the president. The vice president does not automatically possess inherent powers to act in the capacity of the chief executive officer, and may act for the president only when the president is actually absent or otherwise unable to act.

The vice-president typically assume such additional substantive duties such as managing the landscape and exterior painting and repairs.

Secretary
The secretary of the association is responsible for keeping and maintaining a record of all meetings of the board and the membership and is the custodian for most of the official records of the association. The position of secretary is not simply a clerical position.

As the custodian for the minutes and other official records of the association, the secretary is responsible for insuring access to those records by the members of the association and their authorized representatives.

Management Company / Executive Director
The management company provides administrative and counting / collection services.

The executive director perform administrative record keeping, maintains communication and correspondence with homeowners, reviews and assist with the placement of insurance, enforces property rules and regulations, and assists the Board of Directors in dealing with all homeowner questions. The executive director maintains current files pertinent to the Association including an up-to-date roster of all owners to the extent that information is provided to the Agent. The executive director advises Board of Directors regarding Board and Member Meetings including notice preparation, distribution, and agenda development.


Conflict of Interest Policy

Board member will take care to avoid conflicts of interest or the appearance of conflicts. Specifically:

Under no circumstances will any owner or board member be financially compensated for his labors for the association;

Under no circumstances will any owner or board member use contractors or service of the association, and pay the association back;

Under no circumstance will any owner or Board member maintain a petty cash file or be paid in cash. Petty cash reimbursement is only to be paid with an Association check.

Under no circumstances will any owner or board member be given fence, roofing, transmitters, or paint materials, etc., purchased by the Association without paying for the material prior to receipt;

Under no circumstances will any owner or board member purchase tools or office equipment with Association funds;

Under no circumstances will any owner or board member accept personal favors or gifts from contractors of the association;

Under no circumstances will any owner or board member company or a company that they use in another capacity be used by the association unless; there are 3 or more written bids showing that the vender either (a) provides unique services, or (b) is less expensive than an outside vendor, but meets all other criteria (e.g. insurance);

Board Members agree not to collect undisclosed fees, rebates, or discounts from service vendors; and in the event that any should be collected, such fees shall be given immediately to the Association;

The Board shall maintain a separate bank account in a bank where deposits are insured by the Federal Deposit Insurance Corporation.
